Helio is a florist management platform that provides tools for order management, customer tracking, catalogue management, inventory monitoring, and related business operations. The Service is designed specifically for professional florists and flower shops.
The Service is provided as a software-as-a-service (SaaS) product, accessible via a web browser. Access requires a valid subscription and an internet connection.
The Service Provider reserves the right to modify, update, or improve the Service at any time. Where changes significantly affect the functionality available to the User, advance notice will be provided.
The Service is intended for professional use by businesses operating in the floral industry. By subscribing, you confirm that you are using the Service for professional or commercial purposes.
You must be at least 18 years of age to create an account. By creating an account, you represent that the information you provide is accurate and complete.
You are responsible for maintaining the confidentiality of your login credentials. You must notify the Service Provider immediately if you suspect any unauthorised access to your account. The Service Provider is not liable for any loss arising from unauthorised use of your account.
Each subscription grants access to one user account for one shop, unless otherwise agreed in writing.
Access to the Service requires a paid subscription. Subscriptions are billed monthly and renew automatically at the beginning of each billing period.
The applicable price is the price displayed at the time of subscription. The Service Provider may update pricing with at least 30 days advance notice. Continued use of the Service after a price change takes effect constitutes acceptance of the new price.
In the event of a failed payment, the User will be notified and given 7 days to resolve the issue. If payment is not received within this period, access to the Service may be suspended until the account is settled.
All prices are stated exclusive of VAT unless otherwise indicated. Applicable VAT will be added based on the User's location in accordance with EU regulations.
The User may cancel their subscription at any time by contacting the Service Provider by email. Cancellation takes effect at the end of the current billing period. No partial refunds are issued for unused days within a billing period.
The Service Provider may terminate a subscription immediately in cases of a material breach of these Terms, including but not limited to non-payment, misuse of the Service, or fraudulent activity.
Upon cancellation, your data will remain accessible for 30 days following the end of the last paid billing period, after which it may be permanently deleted. We strongly recommend exporting your data before cancellation.
The User agrees to use the Service only for lawful purposes and in a manner that does not infringe the rights of others. The following uses are strictly prohibited:
The Service, including all software, interfaces, designs, text, and documentation, is the exclusive intellectual property of the Service Provider. Nothing in these Terms grants the User any ownership rights over the Service or its components.
The User retains full ownership of the data they enter into the Service, including customer records, orders, and catalogue items. The Service Provider does not claim any rights over the User's data.
The Service Provider makes reasonable efforts to ensure the Service is available at all times. However, the Service is provided on an "as is" and "as available" basis. The Service Provider does not guarantee uninterrupted, error-free, or completely secure access.
Planned maintenance that may cause temporary unavailability will be communicated in advance where possible. The Service Provider is not liable for service interruptions beyond its reasonable control, including failures of third-party infrastructure, internet outages, or force majeure events.
The Service Provider's total liability to the User for any claim arising from use of the Service is limited to the total amount paid by the User in the three months immediately preceding the event giving rise to the claim. The Service Provider is not liable for indirect, incidental, or consequential losses, including loss of revenue, loss of data, or loss of business opportunity.
The Service may integrate with or rely on third-party services, including but not limited to the Base44 infrastructure platform and communication tools. The Service Provider is not responsible for the availability, performance, or data practices of these third parties.
Use of any third-party service accessed through Helio is subject to the terms and privacy policies of that third party.
These Terms are governed by the laws of the Federal Republic of Germany. Any dispute arising out of or in connection with these Terms that cannot be resolved amicably shall be subject to the exclusive jurisdiction of the courts of Germany.
Where the User is located in France and applicable EU consumer protection rules provide additional rights, those rights are not excluded by these Terms.
The Service Provider may update these Terms at any time. Active subscribers will be notified by email at least 30 days before any material changes take effect. Continued use of the Service after the effective date of the updated Terms constitutes acceptance of the changes.
If you do not agree with any changes to the Terms, you may cancel your subscription before the new Terms take effect.
